SENIOR LEGAL COUNSEL (M&A) - PERMANENT - HYBRID - BERKSHIRE

UK Qualified or Dual Qualified Solicitor
Minimum of 8 years PQE
Experience with Complex commercial transactions
M&A Restructuring and Corporate Governance and Compliance
Having familiarity with M&A transaction documents (differences between share and business sale agreements; put and call options; transitional services agreements; services contracts; site transfer agreements; ancillary documents; contract novation's; IP assignment documents etc.) so that you can review them with ease and know where to look for typical issues (such as warranty claims; completion accounts; trust arrangements; indemnities and liabilities generally; exclusivity; arrangements with suppliers and customers), particularly following completion and during integration of businesses into or out of the group.
Understanding of due diligence and ability to input to processes run by external lawyers.
Experience of corporate approvals, including board and shareholder resolutions, familiarity with applicable company law and different forms of articles of association, shareholder agreements and joint venture agreement, board/ shareholder reserved matters, s so that they can quickly identify relevant requirements.
Understanding of bank financing/ inter-company arrangements within companies (we have a dedicated Group Treasury function in Spain and other individuals in the UK but having an understanding of the environment, relevant documents, and knowing the right questions to ask will be helpful).
